2. Eligibility

2.1. Users must be at least 18 years old or have parental consent.
2.2. By using the Services, you represent that your account information is accurate and updated.

 

3. User Accounts & Obligations

3.1. Users must register with accurate information and are responsible for account security.
3.2. You agree not to share passwords, impersonate others, or permit unauthorized access.
3.3. SoftRND may deactivate accounts if suspicious or fraudulent activity is detected.

 

4. Services Usage

4.1. SoftRND provides IT and tech-related services per service-specific agreements.
4.2. SoftRND may update tools, documentation, or deliverables.
4.3. Users must use Services lawfully and not misuse intellectual property or distribute harmful content.

 

5. Payment Terms

5.1. Fees are as per quotes or service agreements. Payments due within specified terms.
5.2. Late payments may incur interest at 1.5% per month.
5.3. SoftRND reserves the right to suspend services for non-payment.

 

6. Intellectual Property

6.1. SoftRND owns all intellectual property rights in the Services unless explicitly assigned in writing.
6.2. Users may receive limited licenses to use project deliverables post full payment.
6.3. Unauthorized use or reproduction of SoftRND’s IP is strictly prohibited.

 

7. Confidentiality

7.1. Both parties shall keep each other’s confidential information secure and not disclose it without written consent.
7.2. Confidentiality obligations survive termination for 5 years.

 

8. User Content

8.1. Users grant SoftRND a non-exclusive, worldwide, royalty-free license to use content submitted for Services.
8.2. Users are solely responsible for the legality, accuracy, and ownership of their submitted content.

 

9. Third-Party Integrations

9.1. SoftRND may integrate third-party tools or APIs.
9.2. SoftRND is not liable for third-party services or failures.

 

10. Warranties & Disclaimers

10.1. SoftRND provides Services “as is” and makes no implied warranties of merchantability, fitness, or non-infringement, except as required by law.
10.2. SoftRND does not guarantee uninterrupted or error-free Services.
10.3. Services may be interrupted due to maintenance, upgrades, or Force Majeure events.

 

11. Limitation of Liability

11.1. SoftRND’s liability is limited to direct damages up to the total fees paid in the preceding 6 months.
11.2. SoftRND is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.
11.3. This limitation applies whether claim arises in contract, tort, or otherwise, except in cases of fraud or gross negligence.

 

12. Force Majeure

12.1. SoftRND isn’t liable for delay or failure due to unforeseen events beyond control (e.g., natural disasters, cyber-attacks, government action, pandemics).
12.2. Obligations are suspended until such events abate.

 

13. Indemnification

You agree to indemnify and hold SoftRND and its personnel harmless from any claims, losses, liabilities, damages, or legal actions arising from your use of the Services, breach of Terms, or violation of rights.

 

14. Termination

14.1. SoftRND may suspend or terminate your access for violations or non-payment.
14.2. You may terminate by ceasing use of Services and clearing dues.
14.3. Clauses surviving termination include Payments, IP, Confidentiality, Liability, Indemnity, and Dispute Resolution.

 

15. Governing Law & Dispute Resolution

15.1. Governed by the laws of India.
15.2. Disputes referred to arbitration in [City], India under the Arbitration and Conciliation Act, 1996.
15.3. Arbitration award is final and binding.
15.4. English language applies; communications solely through authorized contacts.

 

16. Notices

19: User-Generated Content & Acceptable Use Policy

19.1. Responsibility: Users are solely responsible for any content, code, media, or data they upload, submit, or transmit via SoftRND platforms or services. SoftRND is not liable for user-posted content.

19.2. Prohibited Content: You agree not to upload, share, or use content that:

• Infringes intellectual property rights

• Contains viruses, malware, or scripts

• Is unlawful, defamatory, obscene, abusive, or misleading

• Violates data protection laws or third-party privacy

19.3. Moderation: SoftRND reserves the right to review, suspend, or delete any content that violates these terms, without prior notice.

 

20: Compliance with Sensitive Data Regulations

20.1. Data Categories: If the Services involve collection or processing of sensitive data (e.g., health, finance, biometric, or children’s data), you confirm that such use is lawful and compliant with applicable Indian (e.g., DPDP Act, RBI guidelines) and international (e.g., GDPR, HIPAA) regulations.

20.2. Client Responsibility: The client is responsible for obtaining all necessary consents, complying with required disclosure obligations, and securing such data using appropriate technical and organizational safeguards.

20.3. Indemnification: SoftRND shall not be liable for any regulatory non-compliance or breach arising from mishandling of sensitive personal data by the client or end-users.
